Terms of Service and Purchase Policy

LAUREL AGENCY | Last updated 5 October 2026

These Terms of Service and Purchase Policy (the "Agreement") govern the purchase and use of advertising account solutions and related infrastructure services supplied by Nexo Agency LLC, trading as Laurel Agency (the "Company", "Laurel Agency", "we", "us" or "our").

By accepting this Agreement at checkout, submitting an order that incorporates it, or using our services after it has been made available to you, you agree to be bound by it. If acting for a business, you confirm that you have authority to bind that business (the "Client", "you" or "your"). If you do not agree, do not purchase or use the services.

1 Scope of services and contractual documents

We supply advertising infrastructure for business use, including access to agency advertising accounts, account allocation and replacement, Business Manager access, technical onboarding, infrastructure setups where included in the selected plan, CRM access and support. Supported platforms may include Meta, Google, TikTok, Snapchat and Microsoft Advertising (Bing), subject to availability and the accepted order.

We do not provide media buying, campaign management, legal or regulatory advice, or performance guarantees unless expressly agreed in a separate written agreement. Subscription fees pay for infrastructure access, provisioning, operational resources and the included services; they do not purchase a particular advertising outcome.

The plan, price, ad spend fees, supported platforms and any additional services must be disclosed before purchase. A separately signed agreement or expressly accepted written order prevails over these Terms only for the matters it specifically varies. Otherwise, these Terms govern service delivery, allocation limits, risk control and refunds. General marketing descriptions do not expand the expressly agreed entitlements.

2 Client advertising and content responsibility

The Client independently selects, creates, uploads and controls all campaigns, advertisements, creatives, copy, claims, targeting, products, offers, landing pages, websites and other material advertised through the infrastructure ("Client Content"). The Client is solely responsible for Client Content and the conduct of its employees, contractors and other authorised users.

We do not undertake continuous monitoring, editorial review or approval of Client Content. Our role and access permissions do not give us the technical ability to comprehensively monitor every advertisement, destination, later change, dynamically displayed page or external transaction. Any administrative visibility, limited offer check or technical assistance does not constitute supervision, endorsement or certification of compliance.

The Client must ensure that its activity complies with applicable laws, advertising platform policies, licensing requirements, intellectual property rights, privacy obligations and consumer protection rules. The Client must hold all required permissions and licences and must not use our services for illegal, fraudulent, misleading or harmful activity or to circumvent applicable legal or platform restrictions.

To the extent permitted by law, we are not responsible for Client Content, the products or services it promotes, or losses and claims arising from the Client’s advertising activity. Nothing in this Agreement excludes duties or liability that the law requires us to retain. If we become aware of prohibited activity, we may restrict or terminate access under Section 13 even though we have no general monitoring obligation.

3 Subscription periods activation and cancellation

3.1 Thirty days of active service

Each subscription covers 30 calendar days of active service. The initial period begins when the first agreed ad account or usable infrastructure setup is delivered and made accessible to the Client, rather than when payment is received. Delivery means that the agreed access, permissions or setup credentials have been made available through the CRM or an agreed support channel. An inaccessible or materially incomplete item does not qualify as delivery.

Once the subscription starts, the Client’s decision not to use delivered services, low campaign spend, voluntary pauses or Client-caused account restrictions do not pause the subscription. Qualifying platform risk control interruptions are treated separately under Section 7. The subscription period is a service period and does not guarantee uninterrupted advertising or campaign approval.

3.2 Postponed activation

Before initial delivery, the Client may request in writing that activation be postponed for up to 90 calendar days from purchase. If the Client does not request delivery or supply necessary onboarding information within that period, we may close the unused subscription without a service fee refund, after written notice and a reasonable opportunity to activate. This does not apply where activation was prevented by our own failure to deliver.

3.3 Renewal and cancellation

There is no obligation to continue beyond the paid subscription period. Automatic renewal applies only where the Client expressly authorises recurring billing after the renewal price, frequency and next charge date are disclosed. Otherwise, a new period requires a new payment or accepted renewal order.

The Client may cancel future renewal through the CRM cancellation function where available, or by written notice to info@laurelagency.co or its designated support channel. Cancellation must be submitted before the earlier of the disclosed renewal charge time and the start of the next billing period. No additional notice period applies. Cancellation takes effect at the end of the paid period and does not itself create a refund entitlement for that period.

A subscription extension under Section 7 extends the current paid period and moves the next renewal date accordingly. We will not charge for overlapping subscription days. If a renewal charge is collected after a timely cancellation or incorrectly overlaps an extension, the incorrect charge will be refunded or corrected.

4 Plans and included infrastructure

4.1 STARTER

STARTER includes a maximum of one initial ad account and one replacement account during each paid 30-day subscription period. This is a total limit across the supported platforms, not a separate allowance per platform. No infrastructure setup, personal profile, Business Manager creation, proxy or other setup asset is included. CRM access and standard service support remain included. Additional accounts, replacements or setups require a separately accepted paid order or plan upgrade.

4.2 TURBO

TURBO includes account provisioning and replacement without a fixed numerical cap where the conditions in Section 5 are satisfied, plus one Meta infrastructure setup per paid 30-day subscription period. Other setups or additional infrastructure are included only if expressly confirmed in writing before purchase.

4.3 TURBO PLUS

TURBO+ includes account provisioning and replacement without a fixed numerical cap where the conditions in Section 5 are satisfied, plus multiple infrastructure setups as reasonably needed for the Client’s genuine advertising operations. Setup requests must be proportionate to actual use and are subject to platform availability, delivery times and security checks. An included setup is not a guarantee of a specific platform spending limit, account approval or verification outcome.

5 Account allocation fair use and payment methods

5.1 Conditions for unlimited provisioning

For TURBO and TURBO+, "unlimited" means that no fixed account quantity cap applies while all allocation conditions are met. It does not mean immediate delivery, unlimited simultaneous requests or a right to accumulate unused accounts. Additional accounts are supplied progressively according to genuine operational need, platform capacity and the delivery terms in Sections 6 and 7.

  • Previously supplied accounts must remain active and be genuinely and fully used for their intended advertising purpose. Idle or underused accounts do not establish a need for further allocation.
  • The Client must use the Company’s or its authorised infrastructure supplier’s designated credit line or card to fund advertising on those accounts.
  • The Client must manage accounts responsibly, cooperate with onboarding and security requirements, and meet the applicable spend and ban ratio conditions.

Replacements for a banned account remain available under the plan’s rules even though that account is no longer active. However, a ban does not create an unconditional entitlement to additional accounts or remove the limits below. Where conditions are not met, we may defer or limit new allocation and explain the applicable reason in writing.

5.2 Client payment methods and Meta limits

The unlimited entitlement does not apply where the Client funds advertising through its own card, credit line or other payment method. Under TURBO, use of a Client payment method and any account allocation must be separately approved and agreed in writing.

Under TURBO+, where the Client uses its own payment method, a maximum of 10 Meta accounts may be delivered per paid 30-day subscription period. Initial accounts and replacements both count toward this limit. This is a maximum allocation, not a guarantee that all 10 can be delivered within the period; valid requests remain subject to available capacity, security checks and Sections 6 and 7. The limit creates no entitlement to accounts that were not requested or to unused quota carried into a later period.

5.3 High ban ratio

For TURBO and TURBO+ accounts funded through the Company’s or its authorised supplier’s payment method, we reserve the right to limit further provisioning to a maximum of six accounts in total per paid 30-day subscription period if the Client’s ban ratio exceeds 66%. This safeguard applies principally to Meta and Google and is an aggregate limit across the affected platforms, including initial accounts and replacements. Accounts already supplied in that period count toward the limit; exceeding the threshold does not create a fresh six-account allowance.

The ban ratio is the number of distinct Company-supplied accounts used by the Client during the preceding 30 calendar days that became banned or disabled in that period, divided by the total number of distinct Company-supplied accounts used by the Client in the same period, multiplied by 100. Each account is counted once. Clearly identified supplier defects and general platform risk control events affecting unrelated advertisers are excluded. We will provide the calculation and basis for any restriction on request.

Premium account infrastructure is intended for responsible, sustained, high-spend advertising. Repeatedly exhausting accounts through avoidable policy violations imposes provisioning costs that can exceed the subscription fee. We may therefore require evidence of corrected issues, responsible account management and the operational ability to maintain compliant campaigns before restoring unrestricted allocation. This does not authorise unlawful advertising or promise that compliant accounts will never be restricted.

5.4 Google spend requirements

For Google allocation, serious spend means at least USD 1,000 or EUR 1,000 per account per paid 30-day subscription period, in the account’s billing currency. Once six Google accounts have been delivered in a period, additional allocation requires the existing Google accounts to remain active and to have each generated that spend in the same period. Replacements for banned accounts remain subject to Section 5.3. We do not guarantee Google allocation beyond these conditions.

6 Delivery times and onboarding requirements

A delivery request is ready for processing when payment has cleared, the Client has submitted a complete request and all required information, access permissions and Client-controlled onboarding requirements have been provided. We will identify missing requirements in writing. Delivery times begin on the next business day after the request is ready.

  • Infrastructure setup: normally 2–5 business days.
  • Meta, Google, TikTok and Snapchat ad accounts, including approved replacements: normally 1–5 business days.
  • Microsoft Advertising (Bing) accounts: up to 15 business days because of additional platform security and verification checks.

A business day is Monday to Friday, excluding United States federal public holidays. A calendar day includes weekends and public holidays. The final day of the applicable standard range is the delivery deadline for the non-delivery remedy in Section 10.2, unless a different deadline was expressly agreed before payment. These are provisioning times, not guarantees of subsequent campaign approval or performance.

If an order requires a setup followed by a separate account request, each stage has its own delivery period starting when that stage is ready. We will explain the sequence. A single account request that was already complete will not have its clock restarted merely because we perform internal setup work.

Actual timing depends on platform conditions, account availability, verification queues and security reviews. We will communicate material delays. Client-caused delays pause the affected delivery clock only for the documented period in which required Client information or action is missing. General platform delays are subject to Section 7 and do not indefinitely suspend the refund threshold.

7 Platform risk control and service extensions

7.1 Qualifying events

Advertising platforms may introduce risk control measures outside our reasonable control, including additional identity or business verification, account sharing restrictions, payment reviews, credit line restrictions, security investigations, provisioning freezes or broader enforcement changes. These measures may temporarily prevent account delivery, replacement, setup completion or access to the affected infrastructure even where the Company and Client have complied with their respective obligations.

7.2 Temporary delay of up to fourteen days

When such an event directly affects an accepted request or active service, we may temporarily defer or suspend the affected delivery or service for up to 14 calendar days. We will notify the Client through the CRM or agreed support channel, identify the affected service and start date, and provide updates reasonably available to us. We will use reasonable efforts to resume delivery or service as soon as the restriction permits.

The 14-day allowance is the maximum aggregate risk control delay for the same affected delivery request or continuous interruption. It cannot be restarted through repeated notices or relabelling the same event. A permitted delay within this allowance does not, by itself, entitle the Client to a subscription fee refund or compensation for lost advertising opportunities. The non-delivery rights in Section 10.2 remain available and the risk control allowance does not add a second 14-day grace period to that threshold.

7.3 Extension of the paid subscription

Where qualifying risk control prevents delivery or materially interrupts included service during an already active subscription, we will extend that subscription without charge by the actual affected period, measured in calendar days. The extension also applies if unaffected accounts remain accessible; simultaneous interruptions count once. The period runs from the documented start of the interruption until the affected service resumes or the Client terminates that affected service under Section 10.2.

If no account or usable setup has yet been delivered, the subscription has not started and activation is deferred instead; no paid service days are consumed. Extensions do not apply to restrictions caused by the Client’s advertisements, landing pages, payment method, failure to cooperate or other Client activity. If a qualifying interruption continues beyond 14 calendar days, the Client may request the proportionate non-delivery remedy for the affected service under Section 10.2.

8 Fees billing and payment channels

Subscription fees, ad spend fees and any separately purchased setup or other charges are distinct from ad spend credit. The applicable amounts, currency and taxes must be disclosed in the CRM, checkout or accepted written order before payment.

Subscription payments are arranged through the Company’s CRM and may be made by bank transfer or card through Stripe. Cryptocurrency is accepted only exceptionally and following written approval. Approved cryptocurrency payments carry a 2% processing fee disclosed before payment. The Client must verify the network, asset, address and payment reference against the official CRM or Company confirmation.

Payments must be sent only to officially designated Company or approved processor details. Do not pay personal accounts or unverified addresses. Provisioning may be withheld until funds are received and reasonably necessary payment verification is complete. No recurring cryptocurrency or bank charge is implied without a separate payment authorisation.

9 Ad spend credit top ups and withdrawals

Ad spend credit is money deposited for advertising spend and is separate from subscription fees. Top-ups are generally automated, but some platforms or account types require manual approval. Processing depends on banking, blockchain confirmation, payment providers and platform restrictions; instant availability is not guaranteed.

Unused, reconciled ad spend credit is refundable even where the subscription fee is non-refundable or an account is banned. Funds already spent, valid platform charges and fees disclosed and earned under the accepted order do not form part of the refundable unused balance. We will provide a balance reconciliation on request.

Withdrawals and refunds are normally completed within 1–5 business days after the request is complete and the balance has been confirmed and released by the relevant platform or supplier. Reconciliation, unsettled campaign charges, payment disputes or reasonably necessary compliance checks may delay release. We will explain a material delay and will not treat a temporary hold as forfeiture of the balance.

10 Subscription fee refunds and non delivery

10.1 General rule

Subscription and other service fees are non-refundable once the agreed service is delivered or made available, except for non-delivery under this Section, an incorrect charge under Section 3.3, or rights that applicable law does not allow us to exclude. A change of mind, a change in business plans, cancellation, non-use or dissatisfaction with advertising results does not create a service fee refund entitlement.

10.2 Failure to deliver an agreed service

If an included and properly requested account or setup remains undelivered for more than 14 calendar days after its applicable delivery deadline under Section 6, the Client may cancel the undelivered part in writing and request a refund attributable to that part. A qualifying risk control interruption of an already delivered service lasting more than 14 calendar days also permits cancellation of the affected service and a proportionate refund for the paid service not provided.

For clarity, the standard deadline for a ready Meta, Google, TikTok or Snapchat account request is five business days; eligibility for this remedy arises if it remains undelivered more than 14 calendar days after that deadline. Bing has a 15-business-day standard deadline followed by the same 14-calendar-day overdue threshold. A qualifying risk control notice does not restart or extend these refund thresholds.

Where no material part of the subscription has been delivered, the paid subscription fee will be refunded in full. Where material services have been delivered, the refund is limited to the undelivered or unavailable part, using any allocation disclosed in the accepted order or, where none exists, a reasonable proportion based on the included services and affected paid period. Delivered services are not retrospectively repriced at undisclosed standalone rates. Unrequested accounts or unused unlimited capacity do not constitute non-delivery.

Client-caused delays and requests outside the purchased plan or allocation rules do not qualify. Following a valid cancellation of an undelivered item, later delivery does not remove the refund entitlement without the Client’s agreement. There will be no duplicate refund and service credit for the same paid period or loss, but an extension does not waive a later qualifying cancellation right.

10.3 Client caused bans and inability to spend

We do not refund service fees merely because accounts are banned, suspended, restricted or unable to spend as a result of Client activity, advertisements, creatives, claims, landing pages, websites, targeting, products, payment issues or violations of law or platform policies. The same applies to poor campaign performance, learning phase limitations or the Client’s inability to operate campaigns effectively.

Such restrictions are addressed through the applicable replacement and allocation rules. A Client-caused ban does not itself trigger a refund, although a later failure to deliver a replacement that is actually owed may qualify under Section 10.2. This exclusion does not cover our failure to provide the agreed infrastructure and does not remove the right to recover unused reconciled ad spend credit.

10.4 Refund requests and method

Submit refund requests through the CRM or in writing to info@laurelagency.co or the designated support channel, identifying the order, affected service and grounds. Approved service fee refunds are normally issued within 1–5 business days after eligibility is confirmed. Ad spend withdrawals follow Section 9. Refunds use the original payment method where supported; any necessary alternative must be agreed with the verified payer. Bank, card or blockchain settlement may take additional time.

11 Platform independence and performance risk

Platforms independently control account reviews, verification, ad approval, enforcement, payment checks, spending limits and algorithms. We do not guarantee account longevity, absence of bans, approval rates, CPM, CPA, ROAS, profitability or a particular volume of campaign spend. Agency account status and use of the Company’s payment method do not exempt the Client from platform rules. These disclosures do not excuse our express delivery and refund obligations.

12 Support and cooperation

Support is available through Telegram and Slack 24/7. Response and resolution times may be longer on weekends, holidays or during platform incidents. Availability does not guarantee immediate replies or round-the-clock manual provisioning. We will make reasonable efforts to respond and resolve matters within our control. The Client must provide accurate information, protect access credentials and promptly report technical or payment issues.

13 Suspension termination and anti fraud measures

We may suspend affected access or terminate services for material breach, non-payment, illegal or fraudulent activity, serious security risk or binding platform requirements. Where practicable and appropriate, we will state the reason and allow a reasonable opportunity to correct a remediable breach. Immediate suspension is permitted where necessary to prevent harm or meet legal or platform obligations.

A suspension caused by the Client’s breach does not entitle the Client to a service fee refund or extension, subject to applicable law. Unused ad spend credit remains subject to reconciliation and refund under Section 9; it is not automatically forfeited.

Clients should seek written resolution of billing issues before disputing a payment where practicable. A good-faith dispute or lawful chargeback is not automatically fraud or breach. Knowingly false payment claims, fraudulent chargebacks and attempts to obtain both a refund and chargeback for the same payment may lead to proportionate suspension, recovery action or reporting to competent authorities or payment processors where lawful.

We may request proportionate identity or payment verification and temporarily hold only funds reasonably connected to a disputed transaction or legally required investigation. We may submit relevant delivery records, CRM and support logs, payment confirmations and other lawful evidence to resolve disputes, in accordance with applicable privacy obligations. Funds unrelated to the dispute remain subject to normal withdrawal procedures.

14 Client indemnity and limitation of liability

To the extent permitted by law, the Client will indemnify the Company against third-party claims, liabilities and reasonable legal costs arising from unlawful Client Content, infringement of third-party rights or the Client’s material breach of this Agreement. This obligation does not cover loss caused by the Company’s own breach, negligence or unlawful conduct. We will notify the Client of the claim and reasonably cooperate in its defence; no settlement imposing an obligation on the Client may be accepted without its reasonable consent.

To the maximum extent permitted by law, neither party is liable to the other for indirect or consequential losses, lost profit, lost revenue or lost advertising opportunities arising under this Agreement. The Company’s aggregate liability for claims relating to a subscription period is limited to the subscription fee paid for the period in which the claim arose.

This cap does not limit our obligation to return refundable ad spend credit, issue refunds expressly owed under this Agreement or correct erroneous charges. Nothing excludes liability for fraud, wilful misconduct or any liability that cannot lawfully be excluded or limited.

15 Governing law and disputes

This Agreement is governed by the laws of the State of Wyoming, United States, excluding its conflict of laws rules. Subject to any mandatory law requiring otherwise, the state courts located in Wyoming and the United States federal courts with jurisdiction in Wyoming have exclusive jurisdiction over disputes arising from this Agreement. Before starting proceedings, the parties should attempt in good faith to resolve the dispute in writing. This does not prevent urgent relief or the exercise of rights that applicable law preserves.

16 Changes to these terms and general provisions

We may revise these Terms prospectively by publishing an updated version and last updated date. Material changes affecting existing Clients will be notified through the CRM, email or agreed support channel before they take effect. Adverse material changes to price, plan entitlements, allocation limits, delivery rights or refunds apply from the next renewal after notice, unless the Client expressly agrees otherwise. The Client may cancel future renewal before the change applies. Changes will not retrospectively remove accrued refund or withdrawal rights.

These Terms and the accepted contractual documents under Section 1 form the agreement for the relevant services. If a provision is unenforceable, the remaining provisions continue to apply. A failure to enforce a provision does not waive it. Written notices may be given through the CRM, the agreed support channel or the contact email stated above, with a record of submission retained.

These services are intended for business use. Nothing in this Agreement removes any consumer, payment dispute, withdrawal, refund or other statutory right that applies and cannot lawfully be waived. Personal data and dispute records are handled in accordance with the Company’s Privacy Policy and applicable law.
